Terms of Service

These Terms of Service ('Terms') govern your access to and use of frameandfactor.com and any services, applications or communications provided by Frame & Factor ('Frame & Factor', 'we', 'us'). By using the site or submitting an application, you agree to these Terms. If you do not agree, do not use the site.

01 · Eligibility

You must be at least 18 years old and able to form a binding contract to use our services. If you are acting for a company, you confirm you have authority to bind that company to these Terms.

02 · What Frame & Factor provides

Frame & Factor operates a creator partnership desk. Depending on the engagement, this may include evaluating applications, matching brands with creators, benchmarking rates, negotiating and administering deals, overseeing content production, and reporting on tracked performance.

The website itself is informational. Nothing on it constitutes an offer, guarantee of placement, or promise of any particular commercial outcome, income, reach or return. Any figures, case studies or benchmarks shown are illustrative and not a projection of your results.

03 · Applications and submissions

Applications may be submitted through forms on or embedded in this site, including third-party form providers such as Typeform. Submitting an application does not create a partnership, agency relationship or contract, and we may accept or decline any application at our discretion.

You must provide accurate, current and complete information, including any audience or performance metrics you supply. Providing false, inflated or fraudulent information is grounds for immediate rejection or termination.

Where an engagement proceeds, it will be governed by a separate written agreement (for example a campaign agreement, insertion order or statement of work). If that agreement conflicts with these Terms, the separate agreement controls for that engagement.

04 · Fees and payment

Fees, commission rates, payment schedules and payout terms are set out in the applicable separate agreement. Unless stated otherwise, fees are exclusive of taxes, and each party is responsible for its own taxes and for reporting its own income.

Creators and brands remain responsible for their own legal, tax and regulatory compliance, including any invoicing, withholding and self-employment obligations.

05 · Content, disclosure and compliance

Creators are responsible for ensuring content complies with applicable advertising law and platform rules, including clear and conspicuous disclosure of paid partnerships (for example FTC endorsement guidelines, ASA CAP Code, and the relevant platform's branded content tools).

Brands are responsible for the accuracy and legality of claims, products and materials they supply, and for holding any necessary rights, licences and approvals.

Frame & Factor may review content for brief adherence but does not assume responsibility for third-party content, product quality, or the conduct of any brand or creator.

06 · Intellectual property

The Frame & Factor name, logo, site design, copy, and underlying materials are owned by Frame & Factor or its licensors and are protected by intellectual property laws. You may not copy, scrape, frame, reverse engineer or create derivative works from the site without our written permission.

Ownership and licensing of campaign content is set out in the applicable separate agreement. You grant Frame & Factor a limited, non-exclusive licence to reference your name, logo and published campaign work in portfolio and marketing materials, unless you tell us in writing that you object.

07 · Acceptable use

You agree not to use the site to break the law, infringe rights, transmit malware, attempt unauthorised access, interfere with the site's operation, harvest data by automated means, or misrepresent your identity or affiliation.

08 · Third-party services and links

The site may embed or link to third-party services, including form, analytics, payment and social platforms. We are not responsible for those services, their availability, or their terms. Your use of them is governed by their own agreements.

09 · Disclaimers

The site and any free materials are provided 'as is' and 'as available', without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, secure or error-free.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

10 · Limitation of liability

To the maximum extent permitted by law, Frame & Factor will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising out of or relating to the site or these Terms.

Our total aggregate liability arising out of or relating to these Terms is limited to the greater of (a) the amounts you paid to Frame & Factor in the three months preceding the event giving rise to the claim, or (b) GBP 100.

11 · Indemnity

You agree to indemnify and hold Frame & Factor harmless from claims, damages, losses and reasonable legal costs arising from your breach of these Terms, your content, or your violation of any law or third-party right.

12 · Termination

We may suspend or terminate your access to the site or any application process at any time, with or without notice, including for suspected breach of these Terms. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability and indemnity.

13 · Changes to these Terms

We may update these Terms from time to time. The 'last updated' date will change and, for material changes, we will take reasonable steps to notify you. Continued use of the site after an update constitutes acceptance.

14 · Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property. If you are a consumer, you keep the benefit of any mandatory protections of your country of residence.
